Dirbato Co., Ltd. (hereinafter "the Company") hereby announces that it has acquired the shares of Icon Consulting Holdings (Head Office: Singapore; CEO: Harjit Khatkar) and has incorporated the company into the Group.
The Company operates a technology consulting business under the mission "Bringing Joy to the World with Technology." We aim to raise the market value of IT consultants and engineers active in the IT industry, and to deliver higher-quality services to our clients. As part of these efforts, we are actively promoting M&A and capital alliances.
Icon Consulting Holdings, through its core operating company Icon Consulting Group, operates staffing and IT consulting businesses mainly in the SAP domain under the mission “facilitate partnering the right talent with the right opportunities." Under the leadership of Founder and CEO Harjit Khatkar, the company has achieved rapid business growth, primarily across the Asia-Pacific and European regions.
Since 2024, with the support of Felicity Global Capital (a Japanese investment fund formerly known as ACA Investments), Icon Consulting Holdings has accelerated its international expansion. Backed also by the company's network with Japanese corporations, this has led to a strategic alliance and share transfer with the Company, which is itself pursuing global expansion.
Through this transaction, the Company will further accelerate its global expansion. We will continue to enhance the value of IT consultants and engineers active in the IT industry—both in Japan and overseas—and promote our business toward the realization of our mission.

For these reasons, we have decided to acquire Foster Net’s shares and make it a group company.
